Hunter & Companion – General Terms of Use

1.1 These General Terms and Conditions of Use (hereinafter referred to as "GTC") apply to the use of the application offered by Hunter & Companion GmbH, Zielstattstr. 19, 81379 Munich (hereinafter referred to as "HC") under the name "MyHunt" (hereinafter referred to as the "MyHunt") and all functions accessible via the MyHunt app (herein after referred to as "MyHunt functions", regardless of whether these are accessed or used in the app or via corresponding areas on the website under the web-based application referred to in Section 1.4; the MyHunt app, the website https://www.myhunt-app.com and the MyHunt functions are herein after collectively referred to as "Services").
1.2 Only natural persons, herein after referred to as "Customer" / "Customers", are entitled to register for the Services.
1.3 The use of the Services is governed exclusively by these GTC. Any terms and conditions that deviate from these GTC shall only apply if HC has agreed to them in writing.
1.4 The MyHunt app consists of a mobile application for iOS and Android devices (hereinafter referred to as the "MyHunt mobile app") and a web-based application, accessible at the URL [https://web.hunterco.app/] (hereinafter referred to as the "MyHunt webapp"). The download of the MyHunt Mobile App from a third-party provider, such as the Apple App Store (for iOS devices) or the Google PlayStore (for Android devices), is additionally subject to the relevant terms and conditions of the respective third-party provider.
1.5 These Terms of Use replace all previous terms of use, in particular those for the free use of the services. Similarly, future changes to the Terms of Use replace the previous version. HC shall notify its customers of any changes in an appropriate manner. Every customer has the right to terminate the user agreement within 4 (four) weeks of receiving notification of the change from HC or to discontinue use of the MyHunt app. If the customer does not declare termination within the afore mentioned period or continues to use the MyHunt app, the amended Terms of Use shall apply.
2.1 Use of the services requires a user account ("account") and acceptance of these GTC. An account can be created via the MyHunt mobile app and the MyHunt web app.
2.2 By creating an account, a user agreement is concluded between the customer and HC.
3.1 A basic requirement for using the services is an internet-enabled device. To use the MyHunt mobile app, a GPS-enabled mobile device is required with the iOS or Android operating system installed in the minimum version specified at the time of download. The use of the services also requires an internet connection with a sufficient data transfer rate and, for the MyHunt mobile app, the activation of the GPS signal.
3.2 The customer must ensure that the data they provide is always up to date and must make any necessary updates. Personal access data (such as passwords) must not be passed on to third parties and must be kept safe from access by third parties. Passwords should be changed at regular intervals for security reasons.If there is reason to suspect that unauthorised persons have gained access toor knowledge of access data, the customer must inform HC immediately by email and change their access data without delay.
3.3 The customer is prohibited from misusing the services. Misuse of the services occurs in particular if the customer (i) provides information that is false to the best of their knowledge, (ii) takes measures aimed at circumventing technical protection measures, or (iii) exceeds the agreed scope of use.
3.4 The customer undertakes to refrain from electronic attacks of any kind on the services. Electronic attacks include, in particular, attempts to overcome, circumvent or otherwise disable HC's security mechanisms, the use of computer programs to automatically read data, the use and/or distribution of viruses, worms, Trojan horses, brute force attacks, spam or the use of other links, programs or procedures that may harm HC.
3.5 The customer undertakes not to post any illegal, infringing, offensive, defamatory, discriminatory, inhuman, racist, anti-constitutional, sexist, violence-glorifying or pornographic content.
3.6 If the customer becomes aware of content that violates the above clause 3.5, they shall immediately remove this content, provided that the content originates from users of their account and the removal of the content is technically possible for them, or notify HC of the existence of this content.
3.7 HC is entitled to remove infringing content, in particular content that violates clause 3.5, as well as to restrict access to certain functions or to block the customer's account if the customer violates these GTC.
3.8 The customer shall be liable to third parties for any infringement of their rights.In the event of justified claims by third parties based on such an infringement, the customer shall be obliged to indemnify HC in full, unless they can prove that they are not responsible for the infringement causing the damage. HC reserves the right to assert claims against the customer and against the users.3.1 A basic prerequisite for the use of the Services is an Internet-capable terminal device. In order to be able to use the mobile app of Hunter & Co., the Customer requires a GPS-enabled mobile device on which the operating system iOS or Android is installed in the version which is indicated as a minimum requirement for downloading. Furthermore, the use of the Services requires an Internet connection with a sufficient data transfer rate and, as far as the mobile app is concerned, an activated GPS signal.
4.1 HC provides its services exclusively within Germany. The content, scope and nature of the MyHunt functions are determined exclusively by the product description contained in the MyHunt app.
4.2 HC reserves the right to continuously adapt the services to market conditions. To use the services, it is therefore particularly important to keep the operating system of the mobile device and the MyHunt app up to date. Adjustments may also mean that older devices in particular will no longer meet the requirements in future, or will only do so to a limited extent.
4.3 Some MyHunt functions require an active internet connection. The services are partially limited to the reception and transmission range of the radio stations operated by the respective network operator and may also be affected by atmospheric conditions, topographical conditions, location and obstacles (e.g. bridges and buildings). The functionality and operational readiness of the end devices used by the customer(e.g. PC, smartphone) as well as the internet and/or mobile phone connection are not part of HC's services; the customer is responsible for this.
4.4 The right to use the services exists only within the scope of the current and proven state of the art. HC reserves the right to temporarily restrict access to the services if this is necessary in view of capacity limits, the security or integrity of the servers or to carryout technical measures, and if this serves the proper or improved provision of the services (e.g. during maintenance work).
4.5 HC reserves the right to use subcontractors to provide its services.
5.1 The MyHunt app is protected by copyright. HC grants the customer only the non-exclusive, non-transferable and non-sublicensable right to use the services in accordance with the provisions of these GTC. No further rights of use to the MyHunt app are granted. The customer is only entitled to decompile and reproduce the MyHunt app to the extent permitted by law.
5.2 The customer grants HC the right to store and automatically process the data and information uploaded to their accounts, such as hunting ground entries, images, photos, posts or other information (collectively "project information") for the purposes specified in these GTC. Accordingly, HC is authorised to process and store the project information for the purpose of providing the services. In order to improve our services, project information is analysed on a statistical basis in an anonymised or pseudonymised form. The customer agrees that project information may be processed for the development, training and optimisation of artificial intelligence (AI) algorithms used in the app. Outside of such development, training or optimisation purposes, image files and GPS data will not be evaluated or passed on to third parties at any time (either for a fee or free of charge).We evaluate the use of individual functions purely statistically via Google Analytics to see which functions are used in the app.This analysis via Google Analytics can be permanently disabled at any time with just one click in the profile area.
5.3 Provided that the customer has given their consent, interest- and target group-oriented advertisements will be placed and evaluated. Details can be found in the current version of the privacy policy, which can be viewed via the corresponding links in the MyHunt mobile app or MyHunt web app.
5.4 The customer is responsible for ensuring that the contractually agreed use of the project information uploaded under their accounts does not infringe any third-party rights (including user rights)to and in relation to the project information (e.g. copyrights or know-how protection). If third parties assert rights to or in relation to the project information uploaded under their accounts, the customer shall indemnify HC against all claims and costs and expenses incurred in the course of legal defence. Further rights of HC, regardless of the legal basis, remain unaffected.
6.1 The registration of accounts is free of charge. The fees owed for the use of the MyHunt functions are determined by the type and scope of functions. Some of the MyHunt functions are subject to a fee. Such functions can be booked by the customer within the MyHunt web app and/or the MyHunt mobile app (there via a so-called in-app purchase) for a fee. Available periods for booking fee-based MyHunt functions are displayed to the customer before the start of the booking.
6.2 If the customer books paid MyHunt functions in the MyHunt web app, the additional fees for these functions will be debited once or monthly, quarterly or annually via the payment service provider Stripe. When booking paid MyHunt functions, the customer is redirected by Stripe to enter their payment information. HC has no access to the customer's payment information stored here.
6.3 Cancellations of paid MyHunt functions can also be made by the customer via the Apple App Store (for iOS devices) or the Google Play Store (for Android devices), provided that they were purchased as in-app purchases within the MyHunt mobile app. In the event of cancellation, the usability of the paid MyHunt features and the customer's payment obligation shall end at the end of the current booking period.
6.4 The amount of the fees owed for the services is based on the prices specified in the MyHunt app at the time of the respective authorisation. HC reserves the right to adjust the fees owed for certain types of accounts from time to time in the course of renewing the accounts in question. HC shall notify the customer of any fee adjustments in good time prior to renewal so that, if the customer does not agree with the fee adjustment, they can deactivate their account at the end of the intended term, convert it to a free account or terminate their user relationship altogether.
6.5 The obligation to pay the fees owed for an account arises upon purchase of the relevant fee-based MyHunt functions within the account and is independent of the actual use of the MyHunt functions. Refunds for accounts cancelled within the same month or for accounts that are not actually used are excluded.
6.6 Billing is per account. If the customer creates additional fee-based accounts after the billing date selected for a month, 3 months or a year, the fees owed for these accounts will be invoiced in the following month. The transfer of accounts between different customers or offsetting between different accounts is excluded.
6.7 The payment methods specified in the MyHunt app are available to the customer as payment options. If necessary, payments will be processed via the respective infrastructure using the payment methods stored in the Apple App Store (for iOS devices) or the Google Play Store (for Android devices).
6.8 If the customer defaults on payment, HC is entitled to charge default interest at a rate of 8 percentage points above the respective base rate in accordance with Section 288 of the German CivilCode (BGB). If HC is able to prove that the damage caused by the default is higher, HC is entitled to claim this. However, the customer is entitled to prove that HC has incurred less or no damage due to the delay.
6.9 Notwithstanding clause 6.7, HC may block the account in question from using the hunting companion functions in the event of non-payment or late payment of the fees owed for an account. HC's rights under clause 8.5 remain unaffected by this.
6.10 The customer shall not be entitled to offset counterclaims disputed by HC and/or not legally established or counterclaims not recognised by HC, or to assert a right of retention on this basis.
7.1 HC is entitled to display advertisements in both versions of the app – both the free and the paid versions. This applies regardless of whether the customer pays a fee for using the app. Even paying customers are not entitled to completely ad-free use of the app.
7.2 The type, scope and placement of advertisements may be adjusted by HC at any time. The display of advertisements is an integral part of the app's service offering and does not constitute a defect.
7.3 The placement may also include third-party content. HC will ensure that this is reasonable and will not display any advertisements that significantly impair the intended use of the app or jeopardise the safety of its use.
7.4 The display of interest- and target group-oriented advertisements using tracking technologies (e.g. cookies, pixels) requires the customer's separate consent. This consent is usually obtained via a consent banner or a similar procedure.
Consent can be revoked at any time with future effect in the user account or via the consent banner or similar procedure. Technically necessary tracking procedures for the functional security of the app remain unaffected by this. Details can be found in the current version of the privacy policy, which can be viewed via the corresponding links in the MyHunt mobile app or MyHunt web app.
8.1 HC shall be liable without limitation in the event of personal injury, fraudulent intent and for all damage caused intentionally or through gross negligence by the legal representatives or vicarious agents of HC.
8.2 Otherwise, HC shall only be liable on the merits for any breach of a material contractual obligation for which HC is responsible. Material contractual obligations are those obligations whose fulfilment is essential for the proper execution of the contract, on whose compliance the contractual partner may regularly rely and whose breach jeopardises the achievement of the purpose of the contract. Liability for the breach of such an essential contractual obligation is limited in total to the damage typically foreseeable at the time of conclusion of the contract.
8.3 Otherwise, HC's liability for damages caused by negligence, regardless of the legal basis, is excluded. This also applies in favour of HC's legal representatives, employees, vicarious agents and subcontractors to whom duties have been transferred.
8.4 The aforementioned limitations of liability do not apply in the event of HC assuming an express guarantee or in the event of liability under the Product Liability Act.
8.5 Claims for damages against HC and its legal representatives, employees, vicarious agents and subcontractors shall generally become time-barred one year after they arise. This does not apply to the cases specified in clauses 8.1, 8.2 and 8.4.
9.1 The user agreement is valid for an indefinite period.
9.2 The customer may terminate the user agreement for an account at any time without notice. If the customer uses paid MyHunt functions, termination is only possible with effect from the end of the current booking period. In this case, termination must take place before the end of this booking period. There is no further notice period. HC's remuneration claims established up to the time of termination by the customer remain unaffected by the termination.
9.3 HC reserves the right to discontinue the infrastructure behind the services and the services themselves. HC shall notify the customer of such discontinuation by email at least three (3) months in advance.
9.4 The customer and HC have the right to terminate the contract without notice for good cause. Good cause shall be deemed to exist for HC in particular if the customer violates a prohibition set out in clauses 3.3, 3.4 and 3.5 or culpably exceeds the rights of use granted to them to a significant extent.
9.5 In the event of significant breaches of the customer's obligations or justified grounds for suspicion of a significant breach of obligations, HC shall be entitled to block the services for the customer. This shall apply in particular in the event of the customer intentionally providing false or untrue information, e.g. in order to evade payment obligations. HC shall inform the customer of the reason for the block by email. The suspension shall remain in effect until the breach of duty has been remedied and/or the customer has provided credible assurance that future breaches of duty will not occur. HC's right to extraordinary termination remains unaffected by the possibility of suspension.
9.6 Terminations by the customer must be declared using the settings provided for this purpose in the MyHunt app.If the customer only terminates the user accounts registered to them, HC shall, at its discretion, grant the customer continued access to the content posted in their accounts, whereby the customer remains obliged to comply with these GTC.If the customer wishes to delete the account or accounts registered to them upon termination, they must select the settings provided for this purpose in the MyHunt app.
9.7 Upon termination of the user agreement, HC will enable the customer to export the content contributed by the customer in a common standard format. In the event of termination of the user agreement, HC will store the account data for a further 6 (six) months, unless the services are discontinued in accordance with clause 9.3.
When using the services, HC collects and processes personal data of the natural person acting as or on behalf of the customer(s). Data processing is carried out in accordance with HC's privacy policy.
11.1 The law of the Federal Republic ofGermany shall apply, excluding the UN Convention on Contracts for theInternational Sale of Goods. The exclusive place of jurisdiction for all disputes arising from and in connection with the use of the services is Munich, provided that the customer is a merchant, a legal entity under public law or a special fund under public law.
11.2 Should individual provisions of the GTC be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by a provision that comes closest to the economic meaning and purpose of the invalid provision.
11.3 Amendments and additions to these GTC must be made in writing to be effective. This also applies to any amendment to this written form clause. No verbal or written side agreements have been made.
